GENERAL SALE CONDITIONS<\/strong><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t

1. Orders.<\/strong>Orders are accepted under the general sales conditions of Think:Water listed below, with no exceptions. Any condition inserted by the buyer that is in contrast with the general sales conditions of ThinkWater is considered invalid unless accepted in writing by the latter. Orders received are considered confirmed and validated if no communications are received from the sales office within three working days of the date of receipt of the order.

2. Prices.<\/strong>Unless otherwise agreed, the agreed prices are for goods delivered \u201cex works\u201d net of VAT and transport.

3. Payments.<\/strong>Payment deadlines will take into account the individual dates of the invoices even if they represent partial executions of a commission or a contract. All payments must be made at the headquarters of Think:Water. Failure or late payment, even if partial and for whatever reason, will give Think:Water the right to cancel the delivery of the goods not yet sent for shipment, even if due under other contracts. Invoices not contested within eight days of receipt will be considered accepted. Interest will be applied to late payments in the amount set out in Legislative Decree no. 231 of 9 October 2002.

4. Deliveries.<\/strong>If the means of shipment is not indicated, the choice is left to Think:Water who will provide it without assuming any responsibility. Any delays in delivery will not be attributable to Think:Water and consequently payments will not be affected in any way. The failure or delay in the execution of a part or of all of the order not confirmed by Think:Water, will not give rise to complaints by the buyer. The delivery term indicated in the order is not essential and is only valid as an approximate indication; any delays will not give right to compensation or indemnity in favor of the buyer. The buyer will be required to check the conditions of the packaging upon receipt, indicating any reservation on the transport document. Such reservation must be reported by the buyer to Think:Water within eight days.<\/p>


5. Transport.<\/strong>The goods travel at the buyer’s risk.

6. Complaints.<\/strong>Any complaints of faults or defects must reach Think:Water within eight days of receiving the goods. Hidden faults must be reported within eight days of discovery. Hidden faults are those faults that cannot be detected by their nature upon careful and complete verification that the recipient is required to carry out upon delivery. Think:Water\u2019s liability is limited to the replacement of the defective goods or part of them, excluding any right to terminate the contract or to a reduction in price or compensation for damages. In any case, returns of goods will not be accepted unless previously authorised in writing by Think:Water and \u201ccarriage paid\u201d. In the absence of written authorisation, any returns will be rejected with the buyer\u2019s expenses charged to them. In application of the \u201csolve et repete\u201d principle, complaints and complaints will be examined after payment has been made for the supply.

7. Penalties.<\/strong>It is understood that Think:Water will not accept \u201creturns\u201d for incorrectly ordered goods. In the event of acceptance of \u201creturns\u201d for incorrectly ordered goods, 10% of the returned value will be charged as partial compensation.

8. Liability for Patent Infringement.<\/strong>Think:Water assumes no responsibility for infringement of patents contested on the materials supplied.

9. Retention of title.<\/strong>The goods are delivered with retention of title pursuant to Article 1523 of the Civil Code.

10. New Products and Catalog.<\/strong>The new product lines will be presented to the buyer by the sales network. The latest catalogue issued proposes the
range of products available at the time of publication. The data and illustrations in our catalogues and price lists are not binding and may be subject to any
modifications that Think:Water deems appropriate.<\/p>


11. Withdrawal.<\/strong>In the cases of application of Legislative Decree January 1992 n. 50, Legislative Decree May 22, 1999 n. 185 and Legislative Decree April 9, 2003 n. 70, and only in these cases,
the buyer – consumer will be entitled to exercise the right of withdrawal within ten days of the stipulation of the contract, by means of communication by
registered letter with acknowledgement of receipt or by telex, telegram or fax-similar, provided that it is followed by a registered letter with acknowledgement of receipt
within the following 48 hours. The communication of the intention to withdraw, within the aforementioned deadline, must be addressed to Think:Water via delle Pezze 35
35013 Cittadella (PD). The buyer – consumer must promptly return the goods supplied and in any case no later than the deadline for the return established by
Legislative Decree January 15, 1992 n. 50 and Legislative Decree May 22, 1999 n. 185 to Think Water via delle Pezze 35 35013 Cittadella (PD). Shipping costs are paid by the buyer – consumer. Within the deadline set out in Legislative Decree 15 January 1992 n. 50 and Legislative Decree 22 May 1999 n. 185, Think:Water will return any sums already received by the buyer-consumer, with the sole exclusion of any additional amounts agreed upon.<\/p>


12. Warranty.<\/strong>The general warranty lasts 12 months from the date of shipment of the material. The warranty covers manufacturing defects of the material
that Think:Water produces. The warranty is limited to the repair or replacement of the component recognized as defective by Think:Water. In no case does the warranty
imply the possibility of requests for compensation. The warranty does not cover failures caused by electrical connection errors, lack of adequate protection,
defective assembly, false maneuvers and poor care of the system by the installer, failure to function properly caused by installations
not carried out in a workmanlike manner or in unsuitable places and operating conditions, in cases where the buyer is not up to date with payments. The warranty does not cover materials
subject to wear, accessories such as pipes, taps, and anything else not directly manufactured by Think:Water. Furthermore, the warranty does not cover
material dismantled, repaired or tampered with by others who have not been expressly authorized to do so by Think:Water. The defective material must be
returned to Think:Water with prior authorization of R.M.A. of the same, carriage paid and following the recognition of the defect by Think:Water, the
component will be returned to the buyer carriage forward; this means that the transport costs related to repair or replacement operations remain
the sole responsibility of the Buyer.
